Clevr Copy Copywriting and Brand Strategy Services – Terms and Conditions

Whether you’ve received a formal quote or booked through the website, these Terms and Conditions apply to your purchase.

Introduction

I pride myself on being helpful and flexible, but it’s a good idea for us to have an agreement on paper so we both know what to expect. I believe agreements like this should be easy to understand, so I’ve made sure this one uses clear language.

Having said that, if anything is unclear, ask me. I’ll be happy to clarify.

Project summary

A summary of your project deliverables is outlined in either the quote provided to you, or the product description at checkout, if you purchased through my website.

By proceeding with payment, you agree to these terms and conditions.

What do we both agree to do?

As my client, you agree:

• You have the power to enter into this contract on behalf of your organisation.

• To provide me with everything I need to complete the project, when I need it.

• To ensure the accuracy of any materials you provide and understand that any errors in client-supplied data or instructions are your responsibility.

• That delays in supplying assets or feedback may affect the agreed timeline and project delivery.

• To review my work, provide feedback and sign-off within agreed timescales.

• To stick to the payment schedule described at the end of this agreement.

As the brand strategist & copywriter, I agree:

• I have the experience and ability to perform the services you need from me.

• I will carry this service out in a professional manner.

• I will respect the confidentiality of any information you give me.

The service I provide to you

I will provide the services as outlined in the quote or product description associated with your booking.

I will deliver your work as a Google Presentation, a Google Spreadsheet or a Google Document unless agreed otherwise. All copywriting work is delivered in a document format and it is the responsibility of the client to ensure that this is presented in full to the service provider that is building your website, managing your email marketing accounts etc unless otherwise agreed in writing.

If your project involves complex web pages, I will include annotated screenshots or use clear descriptions so you can see where the text should sit on the page.

Out-of-scope requests

The project scope is outlined in either the quote or the product description associated with your booking. If additional work is requested after the quote is approved, such as creating new deliverables, writing for new platforms, or making substantial strategic changes, I will provide a separate quote for the additional work. I will not begin any extra work until we both agree in writing.

Delays and project hold

If the project is delayed by more than 30 days due to late delivery of materials, feedback, or approvals on your side, I reserve the right to:

  • Invoice for all completed work to date

  • Cancel the project

  • Charge a reactivation fee if you wish to resume later

Please keep communication open so we can avoid delays.

Changes and revisions

Most clients require me to make some changes to the work I do for them. That’s fine. However, as this is a fixed-price agreement, I do have to limit the time I spend rewriting and editing. This agreement therefore includes:

• Initial delivery of a complete copy document.

• Two subsequent rounds of changes, if required. This only applies up to the point where you sign off my work, publish it or begin using it on your live website.

This bit’s important. Make sure you are completely happy with the scope outlined in your quote or product description before proceeding with your booking. The assignment details may not be changed once this agreement is in place and any edits or rework must take place within the scope of what’s described there.

The reason for this is that changing the assignment details can create lots of extra work for me, particularly if I have already spent time on the project. This is not budgeted for in the cost I give you.

The main circumstances in which this situation is likely to occur are if you:

• Decide to redesign the structure of your website or the layout of the pages themselves. For instance, changing the site map or adding extra pages.

• Substantially alter the positioning, features or selling points of the products or services the text describes. It is best for both of us if I don’t start work until these items have been agreed.

Feedback 
The following will help you to provide useful feedback on the project and ensure the resulting copy is effective. 

Focus on the Audience, Not Personal Preferences: Instead of stating, "I like this" or "I don't like that," consider how the copy aligns with your target audience's needs and expectations. 

Provide Specific, Actionable Feedback: General comments can be ambiguous. Instead, offer detailed observations. For instance, if a particular section seems too lengthy, specify which part and suggest the ideal word count.

Align Feedback with Project Objectives: Ensure your suggestions are consistent with the project's goals and the established brief. Introducing new ideas or changing the direction can lead to scope changes, affecting timelines and costs.

Consider the Brand Voice and Messaging: Reflect on whether the copy accurately represents your brand's tone and message. If something feels off, identify the specific elements and explain why they might not align with the brand's identity.

Limit the Number of Feedback Providers: To avoid conflicting opinions and streamline the revision process, designate one person to consolidate and deliver feedback. This approach prevents "writing by committee" and ensures clear communication.

Trust the Data: Base your feedback on customer insights and data rather than solely on personal opinions. 

Copyright

When I have received full and final payment as described in this agreement, copyright of the work I produce is automatically assigned to you. You can then use the work however you wish.

However, until final payment is received, copyright of the work remains with me.

I retain ownership of any tools, templates, processes, or frameworks I use during this engagement, unless otherwise agreed in writing. You are free to use the final deliverables, but not to resell, redistribute, or reuse internal frameworks or strategy tools as your own.

I love to show off my work, so I reserve the right to display and link to your completed project as part of my online portfolio. (The link may help your Google ranking a bit, so there’s something in this for you too.)

I may request a short testimonial after the project is completed. With your consent, I may also feature anonymised before/after examples or strategic insights from the project in my content or educational materials.

Please let me know if you'd prefer your project to remain private.

File storage and access

I keep backup copies of project files for 6 months after final delivery. After this period, access to these files may no longer be available. Please download and securely store your documents once your project is complete.

Deadlines

I believe in hitting deadlines, but I can only do this with your help. So I can’t be responsible for a missed deadline if you have been late with a down payment, slow to supply materials or not provided feedback to agreed timescales.

I also can’t be responsible for deadlines missed due to circumstances completely beyond my control, like family emergencies, floods, war, acts of God and so on.

Further changes will obviously take extra time. We can agree deadlines for those together, but I’ll do everything I can to meet your needs.

Payments

I make a living as a freelancer, so prompt payment is important to me. By proceeding with payment, whether via quote or checkout, you agree to the following payment schedule:

Payment terms are 50% upfront and 50% upon completion. I won’t start work until I receive this payment.

I will invoice for the remaining balance once the work has been completed.

If I have not received any feedback or comments within two weeks of submitting work to you (at any stage - the initial draft or subsequent edits), I will assume you are happy the work has been completed and will invoice for the remaining balance.

I’m not registered for GST and my payment terms are 7 days. Please pay on time.

Late payments may incur a fee of 5% of the outstanding balance for each full month overdue.

In some cases, payments will be broken into milestones as agreed in writing prior. Payment terms will remain 7 days and work will not commence until the initial agreed payment is paid.

Cancelling this contract

If you wish to cancel this agreement, I will retain your down payment and you may be required to make an additional payment to cover the work I’ve done to date. This ‘kill fee’ (not as dangerous as it sounds) will be based on the percentage of the project I have completed.

Guarantees (where applicable)

Where applicable, performance guarantees will be assessed based on conditions comparable to the prior 120 days. Factors such as seasonality, traffic, offer value, marketing spend, and broader market conditions will be considered. The final determination will be made in good faith based on available data and at my discretion.

Legal stuff

I will do my best to ensure all facts and statements in my work are true and that it doesn’t infringe upon any copyright or other right of a third party. However, I can't be liable to you, or any third party, for damages, including lost profits, lost savings, complaints, claims, litigation or other incidental, consequential or special damages which arise regarding this assignment.

My liability for any claim relating to this project is limited to the total amount you paid for the project.


If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

You cannot transfer this contract to anyone else without my permission.

This contract stays in place and need not be renewed.

Although the language is simple, the intentions are serious, and this contract is a legal document governed and interpreted by the laws of New South Wales, Australia. Any dispute under these Terms shall be subject to the exclusive jurisdiction of the Courts of New South Wales.
